Welcome to Horlio! These Terms of Service (“Terms”) govern your access to and use of the Horlio website and platform (“Platform”). By accessing or using our Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please refrain from using our Platform.

1. Acceptance of Terms

By registering for an account, accessing, or using our Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

Horlio provides an AI-powered LinkedIn automation tool designed to enhance your professional networking and lead generation efforts. Our services include automating personalized comments, engagements, and other LinkedIn activities as described on our website.

3. Account Registration and Security

3.1. Account Creation

  • To use our Platform, you must create an account by providing accurate and complete information, including your name, email address, and a secure password.
  • Each account is intended for use by a single individual or entity and must be connected to only one LinkedIn profile.

3.2. Account Responsibility

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree to notify us immediately at support@horlio.com if you suspect any unauthorized use of your account.
  • Horlio is not liable for any loss or damage arising from your failure to safeguard your account.

4. Subscription and Payment

4.1. Subscription Plans

  • Horlio offers a Freemium plan and a Premium Suite subscription.
  • Details of our subscription plans, including features and pricing, are available on our Pricing page.

4.2. Free Trial

  • We offer a 14-day free trial of the Premium Suite to new users.
  • The free trial is available only once per user or organization.

4.3. Billing and Payments

  • Subscription fees are billed in advance on a monthly basis.
  • By subscribing, you authorize us to charge your provided payment method for the subscription fees.
  • All fees are non-refundable unless required by law.

4.4. Changes to Fees

  • We reserve the right to modify subscription fees upon providing reasonable notice to you.
  • Continued use of the Platform after fee changes constitutes your agreement to the new fees.

4.5. Cancellation and Termination

  • You may cancel your subscription at any time through your account settings.
  • Upon cancellation, your subscription will remain active until the end of the current billing period.
  • Horlio reserves the right to suspend or terminate your account for violations of these Terms.

5. Use of the Platform

5.1. Acceptable Use

  • You agree to use the Platform in compliance with all applicable laws and regulations.
  • You shall not use the Platform for any unlawful or prohibited activities, including but not limited to:
    • Spamming or sending unsolicited messages.
    • Harassing, abusing, or harming others.
    • Violating intellectual property rights.

5.2. LinkedIn Compliance

  • Horlio is not affiliated with LinkedIn Corporation.
  • You agree to comply with LinkedIn’s User Agreement and policies.
  • Horlio is not responsible for any actions taken by LinkedIn against your account due to your use of our Platform.

5.3. Content and Data

  • You are responsible for all content and data you input, upload, or transmit through the Platform.
  • You represent that you have all necessary rights and permissions to use and share such content.

6. Intellectual Property

6.1. Horlio’s Intellectual Property

  • All content, trademarks, logos, and intellectual property on the Platform are owned by Horlio or its licensors.
  • You are granted a limited, non-exclusive license to use the Platform in accordance with these Terms.

6.2. User Content

  • You retain ownership of all content you submit to the Platform.
  • You grant Horlio a non-exclusive, worldwide, royalty-free license to use, reproduce, and display your content solely for operating and improving the Platform.

7. Disclaimer of Warranties

  • The Platform is provided on an “as is” and “as available” basis.
  • Horlio disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We do not guarantee that the Platform will be uninterrupted, error-free, or secure.

8. Limitation of Liability

  • To the fullest extent permitted by law, Horlio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
  • Horlio’s total liability for any claims under these Terms shall not exceed the amount paid by you to Horlio in the six months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Horlio, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from:

  • Your use of the Platform.
  • Violation of these Terms.
  • Infringement of any third-party rights.

10. Confidentiality

  • You agree not to disclose any confidential information obtained through the Platform without prior written consent from Horlio.
  • Confidential information includes non-public business, technical, or financial information.

11. Modifications to the Terms

  • Horlio reserves the right to modify these Terms at any time.
  • We will provide notice of significant changes by posting the new Terms on our website or via email.
  • Your continued use of the Platform after changes become effective constitutes your acceptance of the new Terms.

12. Governing Law and Dispute Resolution

12.1. Governing Law

  • These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions.

12.2. Dispute Resolution

  • Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration in Wilmington, Delaware.
  • The arbitration shall be conducted by the American Arbitration Association under its Commercial Arbitration Rules.

13. Severability

  • If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. Entire Agreement

  • These Terms, along with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Horlio.
